QUAD County ATV Club, Inc.

Bylaws Revisions and Additions          

 accepted amd approved at the June 12, 2009    

These bylaws were brought before the membership and Board of Directors on May 8, 2009 for the first reading to be approved/disapproved after the second reading at the next regular membership meeting on June 12, 2009.

 

Terms of Office:

President:  2 years

Vice President: 2 years

Treasurer:  2 years (Not a member of the Board of Directors)

Secretary: 2 years (Not a member of the Board of Directors)

Board of Directors: 2 years

 

The elected officers will be on an alternate terms according to when they were elected to office. All elections will be held at the July meeting.

The Vice President, Secretary and 2 Board of Directors will be in up for election at the same time

The President, Treasurer and 2 Board of Directors will be up for election the next year

 

In the event a written resignation is received from any Officer or Board of Director, Secretary or Treasurer:

  1. President: The Vice President fills the position until the end of the current term of office
  2. The Board of Directors will then select from the current Board of Directors a new Vice President to fill the current opening caused by movement of the Vice President to President
  3. If a Board of Director member resigns, the Board of Directors will appoint a member to complete the current term of office
  4. If the Secretary or Treasurer resigns, the Board of Directors will appoint a member to complete the current term of office

 

The main purpose of the Board of Directors is to advise and recommend to the membership, not to have authority over the membership. The Board of Directors will present a proposed budget to be adopted at the November meeting and finalized at the March meeting.

 

  1. The Board shall consist of four (4) elected board members. If he or she misses more than three meetings the person may be removed by a 2/3 vote of the membership present at the meeting.

 

  1. Meetings will be held March through November. No meetings will be held during  December, January and February. All meetings will be held at the Club land unless notified differently..........  on the 2nd Friday of the month at 7 PM at the Quad County ATV Club house located at N14399 Arndt Road, Fairchild, WI.

 

  • 3. A quorum for the purpose of conducting the business of the Quad County ATV Club shall consist of:

1 officer

3 Board of Directors members

5 or more members who are not on the Board of Directors

 

  • 4. At Special Board meetings, called for between regular membership meetings, all Board members must be present. The purpose of the meeting is the only thing to be discussed. A 2/3 vote is required to be valid, keeping in mind any non-routine expenses must be approved by the membership. The Secretary will record minutes of the meeting, but has no voting privileges.

 

  • 5. All meetings will be conducted using the following order of business

Call to order

Roll call

Reading and approval of minutes

Reports (Treasurer and any committees)

Unfinished business

New business

Adjourn

 

  • 6. There will be an open session for comments, with comments being limited to 5 minutes. Comments will be made under new business portion of the meeting.

 

•7.      Anyone who wishes to speak from the floor must identify himself/herself to the      membership.

 

8.  All meetings of the membership shall be open to all and any new business that  may come before the membership may be acted on. Voting privileges are one per person with verified, paid membership.

 

  • 9. The meeting will be held to a two-hour limit.

 

  1. Landowners providing ATV usage will be accepted as honorary members and have voting privileges.

 

  • 11. The Quad County ATV Club at the March meeting will determine annual membership dues. Membership types included are: single, family (included are all children under the age of 18 with no voting rights) and business. Family and single membership dues will be determined at the March meeting and due by May 31st.

 

  • 12. Business membership dues will be determined at the November meeting and due by March 31st.

 

  • 13. The Membership may approve or disapprove the membership of new members. Disapproval may not be for reason of race, color, religion, age or any other criteria that would be discriminatory. Membership approval will be given to anyone showing an interest in ATV use and in the club.

 

  • 14. Treasurer and Secretary will read reports at each meeting. Bills will be approved by the Membership and will be read to the membership before payment. A yearly audit will be done by 2 members not holding office and completed by October 31st.

 

  • 15. Expenses incurred by any member, sent by the club, to conventions or special events will be reviewed by the membership for possible reimbursement to the member.

 

•16.  Standing and special committees should use their own discretion in all matters pertaining to their committees. The President and Board of Directors will appoint the committees. A final report is required to be submitted to the membership.

 

  • 17. Insurance, land lease payment, grounds upkeep or regularly scheduled payments maybe paid without membership approval.

 

  • 18. If there are concerns regarding a procedure the following hierarchy will be used to resolve the issue:

19. If no quorum is present, no business may be conducted other than to adjourn the   meeting.

 

20.  All grant applications must be brought before the membership before any action is taken.

 

  • 21. No member shall use the club for personal or monetary gain.

 

22. Quad County ATV Club, UBC, financial year will run from January 1 through  December 31 of the current year, with required reports submitted.

Amendements made to By-Laws November 12, 2009

 

Amendments to the By-Laws -

1. - Ardy Robertson made a motion to strike Roberts rules of order and follow the parliamentary procedures only.  Motion 2nd by John Stewart.  During the discussion - Ardy rescinded her motion.  

2. - Ron Robertson made a motion No Roberts Rules of order; motion was 2nd by Les Connell.

3. - Linda Buchholz made a motion that membership must be paid by due of current year in order to vote in annual election of officers.  2nd by Steve Buchholz

4. - Bill Bethke made a motion that a member can't hold office until they have been a member in good standing for one full year. (Member in good standing is an active member with a paid membership by the due date.)  2nd by les Connell.

5. - Willy Olson made a motion that absent ballot will not be mail unless a member request one. 2nd by Larry Smith.

6. - Linda Buchholz made a motion for the mailing of proxy voting with membership dues. 2nd by Ardy.  Proxy voting gives another person the right to vote for them in all meeting and elections.

That concluded the amendments for the by-laws.
